Guide to small entrepreneurs
This section aims to function as a mini-guide business, for those who intend to
open a business. Found the resources offered by each of the sub-chapters section,
potential entrepreneurs will know how to act in point of starting a business:
Steps forward start a business
Emergency Ordinance no. 44/2008 governing registration
of individuals authorized (PFA),
individual and family businesses , as follows:
- Authorized persons (PFA) - may conduct any form of economic activity
permitted by law, using mainly labor-own
- Individual Enterprise
- an economic enterprise without legal personality,
organized an enterprising person
- Enterprise family
- an economic enterprise without legal personality,
organized an enterprising person with his family.
According to the latest regulations in force
for the organization and operation of its business, the developer (the person) may
engage third parties with individual contract of employment, the inspectorate made
territorial employment, while authorized person and the family not may conclude
a contract of employment with other people.
Acts necessary for the establishment of three
new forms of organization, referred to in Annex Emergency Ordinance no. 44/2008
are the following:
- application for registration
- identity card or passport photocopies certified by the proprietor
holograph on compliance with the original
- copy of the document certifying the rights to use the professional premises (lease agreement,
heir certificate, contract of sale, statement-making space, etc..)
- solemn declaration attesting to fulfillment of conditions of operation provided by the special legislation of healthcare,
veterinary, environmental and labor protection
- specimen signature of the person authorized in the original
- holograph certified photocopies of documents certifying training
or experience, if necessary.
Professional skills can be evidenced by the following categories of documents:
- diploma / certificate / attestation that proves a graduate teaching
- certificate of professional qualification or graduation of a training
- certificate of professional competence
- card mechanic
- card of the applicant's work
- declaration of notoriety on the ability to perform activities for which the authorization
issued by the city mayor said the charge for traditional crafts or trades certificate
of recognition of qualifications acquired abroad.
These documents must be delivered to the trade register at the place where it will
be created the new company.
Recommendations for site selection company
Choice location for future businesses, the developer should consider several important
issues on benefits site:
- Access to staff with appropriate qualifications
- Access to raw materials
- distance to market outlets
- purchasing power of the population of the area
- Status horses transport
- Status communications (mail, telephone, courier services, internet)
- Other services for businesses (banks, financial institutions);
- agglomeration of similar firms
- environmental factors (climate, topography)
- legal implications (of the property, standards and fees for obtaining permits for
construction / planning)
- Access to supply electricity, water, sewerage network)
- development opportunities in the future.
Choosing optimal structure of society
According to art. 2 of Law no. 31/1990, republished, with subsequent modifications
and additions, there are 5 forms of organization of business:
- company name team (NAS)
- ordered society Simple (SCS)
- limited liability company (SA)
- society in partnership with
shares (SCA)
- limited liability company
(LLC).
Name
Documents required:
- copy of the identity
of the sole member or members of the new company
- 3 variants name company to
the reservation company name
- Reservation fee.
Choice head
office
- that will
be established in a building owned by you, you need the property and a statement
of Fiscal Cazier
- where the
registered office of the company will be in an area owned by one or more members,
or in an area in their use is required by contract or comfortable with the lease
contract administration of concern.
Drafting
of the study
Committee will include information about the company to be established according
to its legal form (SRL, SA or other legal form). < br /> Along with the memorandum
will be attached to:
- photocopies after B.I. / C.I. of persons associated with

- evidence of association of the owners and neighbors affected directly

Submission capital
If the cash contribution, the minimum capital is 200 lei and will be paid to the
bank chosen by the members.
If input in kind, presented papers or other documents evidencing ownership of goods

Banking units are required incorporation and copies of identification cards of the
associate / partners.
Registration office unique Trade Register Office
Be completed an application for registration (form) and a solemn declaration
(form). Forms are obtained from office of Customer Trade Register of the county
where the will be headquarters of the company.
Be completed application for registration and declaration on their honor, is
attached documents listed above and submit the complete dossier to the Register
of Trade, including proof of payment of stamp duty and legal stamps.
Publication judge delegated conclusion
Within 5 working days, the judge delegated by the ORC decide admission,
suspension or rejection of application.
Where the application has been accepted, is the authorization and establishment
of company registration in trade register.
